These terms govern the purchase of a box. They are provided with, and incorporated into, the proforma invoice you approve at the time of sale — you accept them by approving that invoice or paying, not by reading this page. They are published here so you can read them beforehand. Your use of the software on the box is governed separately by the Terms of Use and the Privacy Policy.

These Terms & Conditions (the “Terms”) govern the sale of the box— a custom-built local artificial intelligence (“AI”) hardware system (the “box”) — by VoxCura, LLC, a New Hampshire limited liability company (“VoxCura,” “we,” “us”) to the customer identified on the accompanying proforma invoice (“you” or the “Buyer”). These Terms are provided with, and incorporated into and made a part of, that proforma invoice. By approving the proforma invoice or paying for the box, you agree to these Terms. You represent that you are a legally competent adult, at least 18 years old and able to enter into a binding contract. For purposes of these Terms, where the context permits or requires, “you” is intended to include anyone that has access to or use of your box after delivery to you by VoxCura, whether or not specifically authorized by you.

1. The Product

The box is a custom-built computer, assembled to the configuration selected by you and listed on your proforma invoice, with open-weight AI models installed, configured, optimized, and tested by us before it ships. The box is built to order for the Buyer. You are granted a non-exclusive, non-transferable, royalty-free, worldwide license to use the installed software, provided that neither you nor any other party is granted any right to copy, sell, or transfer all or any part of such installed software separate from your box. The specifications on your proforma invoice control; marketing materials and website copy are general descriptions and are not incorporated into or made a part of these Terms.

2. Price & Payment

The price for your box is the total stated on your proforma invoice, in U.S. dollars, and is a single bundled price covering the hardware, software build, together with one-time setup, configuration, optimization, and testing. Payment is made through a secure Stripe payment link issued after you approve the proforma invoice. Any applicable sales tax is calculated at checkout; you are responsible for any other taxes, duties, or governmental charges (such as use taxes in your state) arising from your purchase, except for any taxes on our net income. All amounts payable by you will be deemed fully earned and non-refundable by VoxCura when paid. A final confirmatory invoice for your records is issued upon receipt of payment. Your electronic approval of the proforma invoice and payment through the payment link constitute your binding acceptance of these Terms.

3. Delivery, Title & Risk of Loss

Your box ships with standard shipping fees included in the price. We will provide an estimated build-and-delivery timeframe after payment is made; timeframes are estimates, not guarantees, and any delays on the target delivery timeframe are not grounds for cancellation. Title and risk of loss pass to you upon delivery to the address you provide. Please inspect your box promptly on arrival and report any shipping damage or other issues to us within 5 days of delivery so we can help you pursue a carrier claim. We are not responsible for delays or failures caused by events beyond our reasonable control (see Section 13, Force Majeure).

4. Setup & Onboarding Support

Initial setup, configuration, optimization, and testing are performed by us before your box ships, so it arrives ready to run. After you receive your box you also get hands-on support from us, provided remotely, in English, and by appointment:

  • Onboarding support — first two weeks. For at least two weeks from the day you receive your box, you may book time with us from 9:00 a.m. to 5:00 p.m. (Eastern), Monday through Friday, for help getting the most out of your box — such as resolving any issues, configuring the AI, setting up workflow automations, connecting the services you want to use, and working through how to use the box for your needs.
  • Ongoing technical support — first 12 months. For 12 months from the day you receive your box, we will help you resolve technical problems with the box, by appointment, at no additional charge.

Beyond the onboarding period, broader help — such as further AI configuration, new workflow automations, or guidance that goes beyond resolving a technical problem — is offered at our discretion, free or for a fee, except where your proforma invoice states otherwise. We may modify the hours or channels of support in our sole discretion.

5. Software & Model Updates

Software and model updates are provided at VoxCura’s sole discretion, on a commercially reasonable basis. They are not guaranteed on any schedule or for any minimum period. The box does not depend on updates to function — it will continue to operate offline, as delivered, indefinitely, with no subscription required. Updates may add, change, or remove features. If we offer ongoing or extended update service in the future, or new or additional features or functionality, it may be provided as a separate optional renewal or add-on service on separate terms.

6. 30-Day Return Policy

You may return your box within 30 days of delivery for a refund of the purchase price, less the restocking and setup fee described below, and subject to the following:

  • The box must be returned in its original, fully working condition, with all included components. Ordinary use is expected and fine — only physical damage, missing parts, or unauthorized modifications will void a return.
  • You are responsible for return shipping. We recommend the original packaging and a tracked, insured method. Return shipping you pay is not refundable.
  • Before returning the box, please back up and remove your own data. On receipt we securely wipe the device; we do not retain your data.
  • Once we receive the box and confirm its condition, we will issue your refund within 10 business days.

Because each box is built and configured to order, we will deduct a restocking and setup fee of 15% of the purchase price from the refund. This fee applies to every returned box, whether or not it has been opened or used: the setup, configuration, optimization, and testing described in Section 4 are performed before your box ships, so that work is done and paid for either way.

7. Limited Hardware Warranty

We warrant to the original Buyer that the box hardware will be free from defects in materials and workmanship under normal use for one (1) year from the date of delivery. This warranty runs to the original Buyer only and is not transferable. If a covered defect arises during that period, we will, as your sole remedy, repair or replace the affected part or unit at no charge, and cover reasonable shipping for the warranty service. For any hardware issue, contact us directly — we handle warranty service, and you should not contact any component or parts manufacturer. Any repair work performed by you or a third party will void this warranty.

This warranty does not cover normal wear and tear, cosmetic wear that does not affect function, accidental damage, liquid damage, misuse, neglect, power surges, unauthorized repair, use of incompatible third-party parts, or modifications made after delivery. This limited warranty is the only express warranty we provide on the hardware.

Any implied warranties on the hardware that cannot lawfully be disclaimed are limited in duration to this one-year warranty period. Some states do not allow limitations on how long an implied warranty lasts, so this limitation may not apply to you.

8. Your Data & Privacy

The box is intended to be a local product: your prompts, files, conversations, and the outputs the models generate are designed to stay on your own hardware and network. We do not receive the contents of your work, and we do not use it to train any model. Our handling of the limited information we do collect (for example, when you contact us or purchase a box) is described in our Privacy Policy. You are responsible for your own data on your box, and you are solely responsible for maintaining your own procedures for the reconstruction of lost or altered files, and backup or saving of data or programs to the extent deemed necessary by you. We expressly disclaim any responsibility or liability for any of your data or information that leaves the box because of something you configure, enable, or connect — including any network configuration you make, any cloud backup, sync, or upload you turn on, any third-party service you link, and any copy you export yourself. The box’s local-by-default design protects your data only to the extent you do not route it elsewhere.

9. Acceptable Use

You are responsible for using the box, and any AI models or outputs it produces, lawfully and in compliance with applicable laws and third-party rights. Without limiting that the foregoing, you expressly agree not to use the box to: generate child sexual abuse material; create malware or content designed to deceive or defraud at scale; infringe anyone’s intellectual property or privacy rights; or operate the box as the inference backend for a public or commercial service without a separate written agreement with us. The box is a general-purpose tool; it is not intended for use as a medical, legal, financial, or other professional service, and its outputs are not intended to be, and are not, a substitute for qualified professional advice. Using the box does not create any professional relationship between you and VoxCura.

9a. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless VoxCura, LLC and its members, officers, employees, contractors, representatives, vendors, agents, and professional advisors from and against any third-party claim, action, investigation, audit, inquiry, proceeding, demand, loss, liability, or expense (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your use or misuse of the box or its outputs; (b) any outside service or third-party add-ons you connect to or install on the box; (c) content you generate, store, or transmit using the box; (d) your violation or alleged violation or breach of these Terms or of any law or regulation; (e) your violation or alleged violation of any law or regulation or of anyone else’s rights; or (f) your gross negligence, willful misconduct, or fraud. We will notify you of any claim for which we seek indemnification, and you may participate in the defense at your sole cost and expense.

10. Disclaimers & Limitation of Liability

Except for the express Limited Hardware Warranty in Section 7, the box and its software and model outputs are provided “as is,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. AI models can produce inaccurate or incomplete output and are not intended to replace your personal or professional judgment or experience; you are solely responsible for reviewing and verifying any output is true, accurate, and complete before relying on it.

To the fullest extent permitted by law, VoxCura’s total liability arising out of or relating to the box or these Terms will not exceed the amount you paid for the box, and VoxCura will not be liable for any indirect, incidental, special, consequential, reliance, exemplary, or punitive damages, or for lost profits, revenue, data, or business, under any legal theory and even if advised of the possibility of such liability, and notwithstanding the failure of essential purpose of any limited remedy. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you; in those states, our liability is limited to the greatest extent permitted by law.

Any claim or action arising out of or relating to the box or these Terms must be brought within one (1) year after the claim arose, to the extent permitted by law.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict or choice of law provisions.

The exclusive venue for any dispute arising out of or relating to these Terms or the box is the state and federal courts located in New Hampshire, and each party consents to the jurisdiction of those courts. Each party waives any right to a jury trial. Each party may bring claims only on an individual basis and waives any right to bring or participate in a class, collective, or representative action. Either party may still bring an individual claim in small-claims court, or seek injunctive relief in court to protect intellectual property rights or confidential information.

Sales scope. The box is sold solely to purchasers located, and for use, in the United States.

12. Relationship to Other Agreements

These Terms govern the sale of your box. Your useof the software installed on the box is additionally governed by the box’s Terms of Use and Privacy Policy, which you accept when you set up and use the box. In case of a conflict about the sale itself, these Terms control; in case of a conflict about use of the software, the Terms of Use control. Together with the accompanying proforma invoice, these three documents constitute the entire agreement between you and VoxCura regarding your box with respect to its subject matter hereof and thereof, and supersede all prior agreements and understandings, whether written or verbal. No third party beneficiary rights are intended or implied by these Terms.

13. General

Changes. Any change to these Terms requested by you must be in writing and agreed by both parties.

Assignment. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our written consent. You may, however, sell or give the box itself to someone else; provided that the hardware warranty in Section 7 will not transfer from the original Buyer.

Survival.Sections 7 (warranty terms), 8 (data & privacy), 9 and 9a (acceptable use and indemnification), 10 (disclaimers & liability), 11 (governing law & disputes), and this Section 13 survive delivery, return, or termination.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including without limitation natural disasters, war, network or power outages, supply-chain disruptions, labor disputes, carrier delays, or government action.

Notices. Legal notices to VoxCura must be sent to the address and contact above. We may give you notice at the email or address on your proforma invoice.

Export & sanctions. You represent that you are not located in, and will not export or re-export the box to, any country or party subject to U.S. sanctions or export restrictions.

Electronic acceptance. You agree that your electronic approval of the proforma invoice, electronic payment, and any electronic signature are valid, binding, and enforceable, and that these Terms may be accepted in counterparts, each of which will be deemed an original but all of which together shall constitute one and the same instrument.

Severability & waiver. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure or delay to enforce a provision is not a waiver of our right to enforce it later; any waiver must be in writing.
